What is an Accredited Investor?

Under SEC Rule 501 of Regulation D, an accredited investor is an individual or entity that meets at least one of the following criteria:

  • Income: Annual income exceeding $200,000 individually (or $300,000 jointly with a spouse or spousal equivalent) in each of the last two years, with a reasonable expectation of the same in the current year.
  • Net worth: Net worth over $1 million, either individually or jointly with a spouse or spousal equivalent, excluding the value of a primary residence.
  • Professional certifications: Holding certain qualifying professional certifications, designations, or credentials in good standing (such as Series 7, Series 65, or Series 82 licenses).
